Which <strong>tools<\/strong> and processes truly help build a solid governance structure capable of balancing continuity, meritocracy, and long-term vision?<\/p>\n<p>We discussed this with <strong>Gianluigi Serafini<\/strong>, Equity Partner at <em>Grimaldi Alliance <\/em>and Director of the<strong> Open Program in Family Business Governance<\/strong> at Bologna Business School (BBS). In this interview, we explore practical tools to address the most critical challenges\u2014from defining leadership to navigating the delicate phase of generational transition.<\/p>\n<p>&nbsp;<\/p>\n<h2><strong>The pillars of strong family governance: values and leadership\u00a0<\/strong><\/h2>\n<p><strong>Governance<\/strong> is often seen merely as a set of bureaucratic rules. However, in a family business, the challenge runs much deeper.<\/p>\n<p>According to Serafini, the intrinsic complexity of these organizations requires starting from the foundations: <strong>shared values<\/strong>.<\/p>\n<p>\u201c<em>If the goal is to build value that enables the long-term development of the company, it is essential to have clarity around the industrial and financial principles that underpin corporate governance<\/em>,\u201d explains Serafini.<\/p>\n<p>For a business that aims to grow and develop in the market, three elements are indispensable:<\/p>\n<ul>\n<li>nurturing a strong <strong>value-based identity<\/strong>;<\/li>\n<li>maintaining sound <strong>capitalization<\/strong>;<\/li>\n<li>developing a constant capacity for <strong>innovation<\/strong>.<\/li>\n<\/ul>\n<p>A critical point highlighted by the Program Director is the distinction between ownership and management:<br \/>\n\u201c<em>Defining <strong>shared leadership <\/strong>is one of the most delicate aspects. <\/em><em>The title of entrepreneur and the ability to truly perform that role do not always coincide. This awareness may not be clear within the family and must be managed with appropriate tools<\/em>.\u201d<\/p>\n<p>&nbsp;<\/p>\n<h2><strong>From theory to practice: how do you learn to manage a family business?\u00a0<\/strong><\/h2>\n<p>Academic theory is fundamental, but SMEs operate in a highly practical reality. Treating it solely as a matter of taxation or shareholding.<br \/>\n\u201c<em>Generational transition is discussed a great deal\u2014perhaps too much\u2014but entrepreneurs often end up managing it \u2018in their own way,<\/em>\u2019\u201d warns Serafini. \u201c<em>We often see fathers reluctant to engage with their growing children, holding on to control for too long<\/em>.\u201d<\/p>\n<p>Serafini\u2019s perspective challenges the traditional approach:<\/p>\n<ul>\n<li><strong>Not just tax optimization<\/strong>: generational transition involves deeply rooted psychological dynamics.<\/li>\n<li><strong>Prevention<\/strong>: a culture must be built to prevent dysfunctional situations that, if ignored, can become unmanageable.<\/li>\n<li><strong>Education<\/strong>: concrete training paths are needed to help families separate emotional dynamics from business decisions.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2><strong>The value of the territory: the Italian SME ecosystem\u00a0<\/strong><\/h2>\n<p>Choosing where to train is not a secondary detail.
